These Terms of Service ("Terms") are a binding agreement between you and Smart Space Integration LLC, a Florida limited liability company operating The Vantage Suite ("Vantage," "we," "us"). They govern your access to and use of the Vantage platform, applications, and related services (the "Service").
By creating an account, accepting an invitation to a workspace, or using the Service, you agree to these Terms on your own behalf and, if you are acting for a company, on behalf of that company. If you do not agree, do not use the Service.
Vantage is business management software for contractors - including proposals, project management, scheduling, procurement, invoicing, job costing, and client portals. The Service is provided on a subscription basis to business customers ("Tenants") and is made available to their staff, subcontractors, and clients through role-based accounts.
Beta notice. Portions of the Service are offered as a beta. Beta features are provided as-is, may change or be removed without notice, and may contain defects. We may impose limits on beta participation at our discretion.
You retain all rights to the data you or your users submit to the Service - projects, customers, documents, photos, financial records, and other business content ("Customer Data"). We do not sell Customer Data.
You grant us a limited license to host, process, transmit, and display Customer Data solely to operate, secure, and improve the Service. Our collection and handling of personal information is described in our Privacy Policy.
You are responsible for the accuracy and legality of Customer Data, for having the rights necessary to submit it, and for your own compliance obligations regarding it (including retention and financial recordkeeping requirements applicable to your business).

We may suspend or terminate access that we reasonably believe violates these Terms or threatens the security or integrity of the Service.
The Service interoperates with third-party services you may choose to connect, such as accounting (QuickBooks), payments, file storage (e.g., Google Drive), and communication providers. Your use of a third-party service is governed by that provider's own terms, and we are not responsible for third-party services. Connecting an integration authorizes us to exchange data with it on your behalf as needed to provide the feature.
The Service - including its software, design, and branding - is owned by Smart Space Integration LLC and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights in the Service are granted to you. Feedback you provide about the Service may be used by us without restriction or obligation.
The Service includes tools for delivering, viewing, and electronically signing documents such as proposals and change orders. You consent to transact electronically and agree that electronic signatures captured through the Service are intended to be valid and enforceable. The legal effect of any signed document is a matter between the signing parties; Vantage is not a party to agreements between a Tenant and its customers.
These Terms apply for as long as you use the Service. You may cancel your subscription at any time, effective at the end of the current billing period. We may terminate or suspend the Service for material breach, non-payment, or as described in Section 5.
Upon termination, your right to use the Service ends. For a reasonable period after termination, Tenant administrators may request an export of their Customer Data, after which we may delete it in the ordinary course consistent with our Privacy Policy and legal obligations.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
The Service provides business tools, not professional advice. Outputs such as estimates, job costs, and financial reports depend on the data you enter, and you are responsible for verifying them. Nothing in the Service is legal, accounting, or tax advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You will defend and indemnify us against claims arising from Customer Data, your use of the Service in violation of these Terms or applicable law, or disputes between a Tenant and its customers, employees, or subcontractors.
We may modify the Service over time. We may also update these Terms; if a change is material, we will provide reasonable notice (for example, by email or in-app notice). Continued use of the Service after the effective date of updated Terms constitutes acceptance.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in Florida will have exclusive jurisdiction over disputes arising out of these Terms or the Service, and each party consents to venue there. The prevailing party in any action may recover its reasonable attorneys' fees and costs where permitted by law.
